By tendering funds to us (herein a Tender) you agree to the foregoing and as follows: (1) Such Tender is made by you to us in payment towards sums, if any, due us in connection with one or more transfers of title to the real property identified in communications and documents submitted by you to us in connection with the Tender (each transfer of title to said property herein a Transfer), and in reliance solely upon your own due diligence, investigation and professional advisors as to all matters relevant to the Tender; (2) You authorize and agree that Tender made by you shall first be applied to unpaid amount(s) due in connection with prior Transfers, with any remainder then applied to amount(s) due in connection with the most recent Transfer, with any remainder after deduction of the foregoing accepted by us without further credit or offset, and in accord and satisfaction of such other sums as you have determined us to be entitled for the Transfer; (3) By submitting a Tender to us you agree to indemnify, defend and hold us harmless for all claims for damages of any kind, whether brought by you or others, arising out of or in connection with a Tender or a Transfer; (4) Any documents of a legal nature provided to you by us in connection with a a Tender or a Transfer shall be deemed draft documents prepared for our benefit and submitted to you strictly contingent upon your agreement to consult with and rely solely upon legal counsel of your own choosing prior to use of or reliance upon any such documents.
